Why not just let the LLC lapse?

Many owners stop paying the annual report and assume the company fades away. It does not. On paper, an abandoned LLC keeps owing things, and nobody tells you until a notice arrives.

  • !
The state keeps countingAnnual reports, franchise taxes and late penalties can keep building up. A state that marks the LLC "inactive" can still pursue what is owed, and in many states the LLC can be reinstated with everything due.
  • !
The IRS account stays openThe IRS is never told that the business ended. As long as the EIN account is open, it can expect tax returns and send notices when none arrive.
  • !
Foreign-owned LLCs face the steepest penaltyA foreign-owned single-member LLC owes Form 5472 every year it exists, including the last one. A missed Form 5472 can carry a $25,000 penalty.
  • !
Your name stays on the recordThe LLC remains listed with you as its owner or manager, with a registered agent that keeps billing you, until it is formally dissolved.

How it works

You tell us about the LLC once. From then on, we do the work and keep you informed.

1

Choose your package

Pick what you want handled: the dissolution alone, or the dissolution and the EIN closure. You see the state fee for your state before you pay.

2

Fill in the details and sign

The LLC's details, a photo of your ID and the formation document. Then you sign one authorization online so we may act for the LLC.

3

We file and send

We check the LLC's standing, file with the state and write to the IRS. If something is overdue, we get back to you about it before anything is paid.

4

You get the confirmations

The state's confirmation and a copy of the IRS letter come to you by email, and your order page shows where things stand at any time.

Two packages. Each one complete.

Fixed prices for our work, plus the state filing fee, which goes to the state at cost and is shown before you pay.

Dissolution package

$349 plus state fee

Dissolve the LLC.

  • ✓ Dissolution filed with the state for you
  • ✓ Status check with the state before we file
  • ✓ Official confirmation from the state by email
Choose this package

At checkout you pay the standard cost. If the state requires an overdue amount first, we get back to you about it before anything is paid.

You are in good hands

Closing a company is the last thing you want to get wrong, and the last thing you want to spend weekends on. This is how we make sure it is done right.

A network of licensed CPAs and tax advisors

We work with independent, licensed CPAs and tax advisors. The authorization you sign lets us bring one in for any part of your closure, and you never have to find or brief anyone yourself. Each of them is responsible for their own work.

Nothing happens without your say

We check the LLC's standing before we file. If the state wants an overdue report or fee first, we get back to you about it with what the state charges, before anything is paid.

Everything on the record

You sign one authorization, and a copy comes to you by email. Where a state or the IRS needs your own signature, we prepare the document and send it to you. No shortcuts, nothing done in your name that you did not approve.

A real company behind it

CloseLLCNow is run by Paircat UG (haftungsbeschränkt), a registered company in Berlin, Germany, with a published imprint and a clear privacy policy. Your data goes to the state, the IRS and, where needed, the CPA or tax advisor on your order, and to nobody else.

Common questions

What does closing an LLC actually involve?

Three separate things, with different offices. First, the state: the LLC has to be formally dissolved with the state's business registry, usually the Secretary of State, otherwise it keeps existing on paper and keeps owing annual reports and fees. Second, the IRS: the EIN account stays open until someone asks the IRS to close it, and while it is open the IRS can expect returns. Third, the final tax return for the last year, which tells the IRS the business has ended. We handle the first two for you. The final return is filed by you or your accountant.

Why not just stop paying the annual report and let the state close it?

Because that is not the same as closing it. When a state dissolves an LLC for missing its annual report, the company is usually only "inactive" or "administratively dissolved". Late fees and penalties can keep building up, the state can still pursue them, and in many states the LLC can be reinstated later with everything owed. The IRS is not told anything at all, so the EIN account stays open. For a foreign-owned single-member LLC that matters: every year without the required Form 5472 can carry a penalty of $25,000. A proper dissolution ends all of this on the record.

Who does the work?

Our team prepares and files the state dissolution and the IRS letter that closes the EIN. We work with a network of independent, licensed certified public accountants (CPAs) and tax advisors, and the authorization you sign lets us bring one in for any part of your closure. CloseLLCNow is not a CPA firm; a CPA engaged for your order is responsible for their own work. You never have to find or brief anyone yourself.

What does the state fee cover, and why is it separate?

Every state charges its own fee to accept a dissolution, from nothing in some states to a few hundred dollars in Delaware. We pass that fee on at cost, without a markup, and add it at checkout as a separate line so you can see exactly what goes to the state. The package price is our fee for doing the work. You see the exact state fee for your state in the order form before you pay.

Which package do I need?

If the LLC never received an EIN, the Dissolution package ($349 plus state fee) is all you need. If it has an EIN, which most LLCs do, choose the Dissolution and EIN closure package ($449 plus state fee) so we also write to the IRS to close the account. The IRS completes the closure once the LLC's final tax return has been filed. That return is not part of our packages, so you or your accountant file it.
